1. Agreement
These Terms of Service govern access to and use of Hugin, including the website, application, APIs, MCP endpoints, integrations, workflows, documentation, support, and related services. They also apply to future Hugin features, source connectors, AI features, billing options, interfaces, providers, and services unless we publish separate terms for those items. By creating an account, accessing a workspace, connecting a source, using an API, or otherwise using Hugin, you agree to these Terms.
If you use Hugin for a company or organization, you represent that you have authority to bind that organization. “Customer” means the organization or person that subscribes to or uses Hugin.
2. What Hugin Provides
Hugin provides organizational context infrastructure for AI-native teams. Hugin helps customers connect approved company data sources, process and organize that data, apply access controls and redaction rules, and provide selected context to authorized AI tools, agents, copilots, and workflows.
Hugin is not a law firm, financial advisor, medical provider, employment advisor, compliance auditor, security auditor, or regulated professional service.
3. Accounts, Workspaces, and Administrators
Customers are responsible for all activity under their accounts, workspaces, API keys, custom source credentials, MCP consumer credentials, and connected integrations. Customers must keep credentials secure and promptly revoke or rotate credentials that may be compromised.
Workspace administrators may manage users, roles, source connections, context consumers, access keys, billing settings, and other workspace controls. We may treat actions taken by workspace administrators as authorized by the Customer.
4. Acceptable Use
You must not use Hugin to:
- violate any law, regulation, contract, intellectual property right, privacy right, or third-party right;
- upload, connect, process, or distribute data that you do not have the right to use;
- collect or process sensitive personal information in violation of applicable law or without required notices and permissions;
- bypass workspace permissions, source scopes, rate limits, billing controls, security controls, or technical restrictions;
- probe, scan, attack, disrupt, overload, reverse engineer, scrape, or interfere with Hugin or its providers;
- transmit malware, harmful code, spam, phishing content, or abusive material;
- use Hugin or connected AI systems to make high-impact decisions without appropriate human review and legally required safeguards;
- use AI outputs as professional advice without independent verification;
- resell, sublicense, or provide Hugin as a service bureau unless expressly permitted in writing;
- misrepresent Hugin outputs, evidence, traces, or capabilities.
We may suspend or terminate access if we reasonably believe use violates these Terms, creates risk, threatens security, may harm Hugin or others, or may expose us to liability.
5. Customer Data
“Customer Data” means data submitted to, connected to, ingested by, processed through, or retrieved from Hugin by or for a Customer. Customer Data may include connected source content, custom source payloads, context blocks, object metadata, permission information, traces, and retrieval outputs.
As between the parties, Customer owns Customer Data. Customer grants Hugin a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, modify, create technical derivatives of, and otherwise use Customer Data as necessary to provide, secure, support, bill for, and improve Hugin and as otherwise permitted by these Terms and the Privacy Policy.
Customer represents that it has all rights, notices, consents, permissions, and legal bases needed for Hugin and its providers to process Customer Data.
6. AI Outputs, Context, and Evidence
Hugin may generate or provide context packets, summaries, embeddings, entities, relationships, traces, evidence bundles, and AI-assisted outputs. These outputs may be incomplete, inaccurate, outdated, biased, or unsuitable for a specific purpose.
Customer is solely responsible for reviewing, validating, and deciding whether to rely on any output. Hugin does not guarantee that AI outputs, retrieved context, evidence bundles, traces, entity extraction, relationships, classifications, or recommendations are accurate, complete, legal, safe, compliant, or fit for Customer’s use case.
7. Third-Party Services and Integrations
Hugin integrates with third-party services such as Supabase, Composio, OpenRouter, Trigger.dev, Upstash Redis, Polar, Resend, PostHog, and customer-selected sources such as Slack, GitHub, Linear, Zendesk, and custom push sources. Third-party services are governed by their own terms and policies.
We are not responsible for third-party services, source availability, provider failures, provider changes, third-party data handling, or Customer’s configuration of connected services. Customer authorizes Hugin to access and process connected source data according to Customer’s configuration.
8. Security and Access Controls
Hugin includes technical and organizational controls such as workspace isolation, role-based checks, source scopes, credential hashing, private storage buckets, webhook verification, rate limiting, idempotency, audit events, trace events, and provider constraints. These controls do not eliminate all risk.
Customer remains responsible for user management, internal access decisions, connected source permissions, consumer scope configuration, credential management, endpoint security, and compliance with its own security policies.
9. Billing, Plans, Usage, and Taxes
Hugin may offer Starter, Team, Custom, add-on, prepaid context ops, overage, and custom-priced services. Current product materials describe context ops as Hugin’s main usage unit and source connections/workspaces as packaging limits. Actual pricing, limits, overages, billing cadence, annual discounts, and support levels will be as stated at checkout, in an order form, or in the applicable plan materials.
Unless otherwise stated:
- fees are due in advance and are non-refundable except as stated in the Refund Policy or required by law;
- subscriptions renew automatically until canceled;
- usage, add-ons, prepaid packs, and overages may incur additional charges;
- taxes are not included unless expressly stated;
- Customer must provide accurate billing information and keep it current;
- we may use Polar or another billing provider to process payments and subscription events.
10. Cancellation
Customers may cancel according to the in-app billing flow, the applicable checkout/order terms, or by contacting fixeonai@gmail.com. The current codebase supports cancellation-at-period-end requests and immediate revocation requests through Polar-backed billing flows. Access may continue until the end of the paid term unless immediate cancellation or termination applies.
Cancellation does not relieve Customer of fees already incurred, usage charges, overages, or amounts due before cancellation.
11. Support, Beta Features, and Changes
Support level depends on the applicable plan or order. Some features, connectors, workflows, APIs, MCP tools, UI surfaces, models, billing flows, admin tools, or source integrations may be beta, experimental, incomplete, disabled, or subject to change. Hugin is expected to evolve over time, and these Terms are intended to cover future product changes, new integrations, new AI/model providers, new billing plans, new APIs, and related improvements unless separate terms are provided. We may modify, suspend, discontinue, or limit features at any time, provided we do not materially reduce paid core functionality without reasonable notice where required.
12. Intellectual Property
Hugin and its software, documentation, designs, workflows, models of operation, names, logos, and related technology are owned by Hugin or its licensors and are protected by intellectual property laws. Except for the limited right to use Hugin under these Terms, no rights are transferred.
Customer retains ownership of Customer Data. Customer feedback may be used by Hugin without restriction or compensation, unless separately agreed in writing.
13. Confidentiality
Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information and use it only for purposes related to these Terms. Confidentiality obligations do not apply to information that is public, independently developed, rightfully received from another source, or required to be disclosed by law.
14. Data Protection
The Privacy Policy describes how Hugin handles personal information. If Customer Data includes personal data subject to data protection laws, the parties may need a data processing agreement. If required, contact fixeonai@gmail.com to request a DPA.
15. Disclaimers
To the fullest extent permitted by law, Hugin is provided “as is” and “as available.” We disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and uninterrupted or error-free operation.
We do not guarantee that Hugin will meet Customer’s requirements, prevent all unauthorized access, preserve all data, produce accurate AI outputs, satisfy regulatory obligations, or be suitable for high-risk use cases.
16. Limitation of Liability
To the fullest extent permitted by law, Hugin and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost business; loss of goodwill; data loss; replacement costs; or business interruption.
To the fullest extent permitted by law, Hugin’s total liability for all claims arising out of or relating to the service or these Terms will not exceed the greater of: (a) the amounts paid by Customer to Hugin for the service giving rise to the claim during the 12 months before the event giving rise to liability; or (b) US$100.
Some jurisdictions do not allow certain limitations, so some limitations may not apply.
17. Indemnification
Customer will defend, indemnify, and hold harmless Hugin and its affiliates, officers, employees, agents, suppliers, and licensors from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to: Customer Data; Customer’s use of Hugin; Customer’s connected sources or AI tools; Customer’s violation of these Terms or law; Customer’s infringement or misuse of third-party rights; or Customer’s failure to obtain required permissions, notices, consents, or legal bases.
18. Suspension and Termination
We may suspend or terminate access immediately if: Customer violates these Terms; payment is overdue; continued access creates security, legal, operational, provider, or reputational risk; a connected source or provider requires suspension; or we reasonably believe the service is being misused.
After termination, Customer’s right to use Hugin ends. We may retain or delete Customer Data according to the Privacy Policy, applicable law, backups, audit needs, billing needs, and operational requirements.
19. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. The courts located in Abuja, Nigeria will have exclusive jurisdiction, unless the parties agree in writing to another dispute resolution process.
20. Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted with a new effective date. Continued use after changes become effective means you accept the updated Terms.
