1. Agreement and Acceptance

These Terms of Service ("Terms") govern access to and use of Hugin, including the website, application, APIs, MCP endpoints, integrations, workflows, documentation, support, and related services (the "Service"). They also apply to future Hugin features, connectors, AI features, models, billing options, interfaces, and providers unless we publish separate terms for those items.

By clicking to accept, creating an account, accessing a workspace, connecting a source, using an API, completing a purchase, or otherwise using Hugin, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, our Refund Policy, and our EULA, each of which is incorporated by reference. If you do not agree, do not use the Service.

If you use Hugin for a company or organization, you represent that you have authority to bind that organization, and "you," "Customer," "your," means that organization. We keep records of acceptance (including the version accepted and the time of acceptance) to evidence this agreement.

2. What Hugin Provides

Hugin provides company brain infrastructure for AI-native teams. Hugin helps customers connect approved company data sources, process and organize that data, apply access controls and redaction rules, provide selected context to authorized AI tools, agents, copilots, and workflows, and, where enabled, serve reusable company procedures and approved connected-app actions to those authorized tools.

Some Hugin capabilities may be read-only, while others may help an authorized AI tool take an action in a connected third-party service at the Customer's direction. Action capabilities are available only when configured, granted, and permitted for the relevant workspace, source, and consumer, and may be subject to dry-run previews, approval requirements, idempotency checks, schema validation, metering, and audit logging.

Hugin is a software tool. Hugin is not a law firm, financial advisor, medical provider, employment advisor, compliance auditor, security auditor, or other regulated professional service, and nothing Hugin produces is professional advice.

3. Accounts, Workspaces, and Administrators

You are responsible for all activity under your accounts, workspaces, API keys, custom source credentials, MCP consumer credentials, connected integrations, skill grants, and action grants. You must keep credentials secure and promptly revoke or rotate credentials that may be compromised. You must provide accurate registration information and keep it current. You must be at least 18 years old (or the age of majority where you live) to use Hugin.

Workspace administrators may manage users, roles, source connections, context consumers, access keys, skill access, action permissions, approval settings, billing settings, and other workspace controls. We may treat actions taken by a workspace administrator as authorized by the Customer.

4. Acceptable Use

Your use of Hugin is subject to our Acceptable Use Policy, which is part of these Terms. In summary, you must not use Hugin to break the law, infringe rights, process data you have no right to process, bypass security or billing controls, attack or disrupt the Service, transmit harmful or abusive content, or make high-impact automated decisions without appropriate human review. We may suspend or terminate access if we reasonably believe use violates these Terms or the Acceptable Use Policy, creates risk, threatens security, or may expose us or others to liability.

5. Customer Data and License to Operate

"Customer Data" means data submitted to, connected to, ingested by, processed through, generated within, acted on, or retrieved from Hugin by or for a Customer, including connected-source content, custom/push payloads, derived context, metadata, permission information, skill content and supporting files, action configurations, action requests, dry-run previews, approval metadata, traces, audit summaries, and retrieval or execution outputs.

As between the parties, Customer owns Customer Data. Customer grants Hugin a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, modify, and create technical derivatives of Customer Data solely as necessary to provide, secure, support, and bill for the Service, and as permitted by these Terms, the Privacy Policy, and the DPA. We do not use Customer Data to train, fine-tune, or improve AI models (see the Privacy Policy).

Customer represents and warrants that it has all rights, notices, consents, permissions, and legal bases needed for Hugin and its subprocessors to process Customer Data, and that connecting a source and submitting data does not violate any law or third-party right.

6. Billing, Merchant of Record, Plans, Usage, and Taxes

Merchant of Record. Purchases of Hugin are sold through Polar Software, Inc., which acts as our Merchant of Record and authorized reseller. This means Polar is the seller of record for your transaction, processes your payment (through its payment processor), and is responsible for handling applicable sales tax, VAT, and similar taxes. Your purchase is also subject to Polar's buyer terms presented at checkout. Hugin does not receive or store your full payment card details.

Plans and usage. Hugin offers plans such as Starter and Team, a Custom/managed tier, add-ons (such as extra sources or workspaces), prepaid context-ops packs, and usage-based (overage) charges. "Context ops" is Hugin's usage unit. The specific prices, included usage, limits, overage rates, billing cadence, trial terms, and support levels are those stated at checkout, on the pricing page, or in an order form at the time of purchase, and may change for future terms.

Unless otherwise stated at checkout or in an order form:

  • fees are billed in advance and are non-refundable except as stated in the Refund Policy or required by law;
  • subscriptions renew automatically for successive terms until canceled;
  • usage, add-ons, prepaid packs, and overages may incur additional charges;
  • prices are exclusive of taxes, which are handled by the Merchant of Record;
  • you must provide accurate billing information and keep it current;
  • failure to pay may result in suspension or termination.

Free trials. If a plan offers a free trial, your payment method may be collected at signup but is not charged during the trial; unless you cancel before the trial ends, the subscription automatically converts to paid at the then-current price. Trial eligibility, length, and terms are as stated at checkout. We may modify or withdraw trials, and may limit trials to one per customer.

7. Cancellation

You may cancel through the in-product billing settings, the applicable checkout/order terms, or by contacting fixeonai@gmail.com. Cancellation can take effect at the end of the current paid term, or immediately where that option applies. Cancellation does not relieve you of fees already incurred, usage charges, overages, or amounts due before cancellation. Refunds and credits are governed by the Refund Policy.

8. AI Outputs, Context, and Transparency

Hugin generates and provides AI-assisted outputs, including context packets, summaries, embeddings, entities, relationships, traces, evidence, reusable skill content, action previews, and action-related summaries. You are interacting with automated and AI-generated outputs. These outputs may be incomplete, inaccurate, outdated, biased, or unsuitable for a given purpose, and may reflect limitations of the underlying sources, models, connected tools, and customer configuration.

You are solely responsible for reviewing, validating, and deciding whether to rely on any output. Hugin does not guarantee that outputs are accurate, complete, lawful, safe, compliant, or fit for your use case, and Hugin must not be used as the sole basis for decisions that have legal, financial, medical, employment, safety, or similarly significant effects without qualified human review.

9. Third-Party Services and Connected Sources

Hugin relies on subprocessors (listed on our Subprocessors page) and integrates with customer-selected sources, connected applications, and AI tools. Third-party services are governed by their own terms and policies. We are not responsible for third-party services, source availability, provider failures or changes, third-party data handling, action results inside third-party services, or your configuration of connected services. You authorize Hugin to access, process, and, where enabled, send customer-directed instructions or data to connected services according to your configuration, and you are responsible for your agreements with those third parties.

10. Security and Customer Responsibilities

Hugin maintains technical and organizational controls described in the Privacy Policy (including workspace isolation, encryption of ingested content at rest and in transit, credential hashing, private storage, webhook verification, rate limiting, idempotency, and audit logging). These controls reduce but do not eliminate risk. You remain responsible for user management, internal access decisions, connected-source permissions, skill publishing decisions, action allowlists, approval settings, consumer-scope configuration, credential management, endpoint security, and compliance with your own policies.

11. Data Protection

The Privacy Policy describes how Hugin handles personal information. Where Customer Data includes personal data subject to data protection laws and Hugin acts as a processor, our Data Processing Addendum applies and is incorporated into these Terms; you may request a counter-signed copy at fixeonai@gmail.com.

12. Support, Beta Features, and Changes to the Service

Support level depends on the applicable plan or order. Some features, connectors, workflows, APIs, MCP tools, UI surfaces, models, billing flows, admin tools, or integrations may be beta, experimental, incomplete, disabled, or subject to change, and are provided without warranty. Hugin is expected to evolve, and these Terms are intended to cover future changes, new integrations, new AI/model providers, new billing plans, and new APIs unless separate terms are provided. We may modify, suspend, discontinue, or limit features at any time, provided we will not materially reduce the core functionality of a paid plan during a paid term without reasonable notice where required by law.

13. Intellectual Property

Hugin and its software, documentation, designs, workflows, methods of operation, connectors, schemas, models of operation, names, logos, and related technology are owned by Hugin or its licensors and are protected by intellectual property laws. Except for the limited rights granted under these Terms and the EULA, no rights are transferred. Customer retains ownership of Customer Data. If you provide feedback or suggestions, you grant Hugin a perpetual, irrevocable, royalty-free license to use them without restriction.

14. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for purposes related to these Terms. These obligations do not apply to information that is public through no fault of the receiving party, independently developed, rightfully received from another source, or required to be disclosed by law (with notice where permitted).

15. Disclaimers

To the fullest extent permitted by law, Hugin is provided "as is" and "as available." We disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and uninterrupted or error-free operation. We do not warrant that Hugin will meet your requirements, prevent all unauthorized access, preserve all data, produce accurate AI outputs, satisfy any regulatory obligation, or be suitable for high-risk use. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

16. Limitation of Liability

To the fullest extent permitted by law, neither Hugin nor its affiliates, officers, employees, agents, suppliers, or licensors will be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost business, loss of goodwill, data loss, replacement costs, or business interruption, even if advised of the possibility.

To the fullest extent permitted by law, Hugin's total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to Hugin (or to its Merchant of Record for the Service) during the 12 months before the event giving rise to liability, or (b) US$100.

These limitations apply to all theories of liability and form an essential basis of the bargain. Some jurisdictions do not allow certain limitations, so some may not apply to you, and nothing in these Terms limits liability that cannot be limited by law.

17. Indemnification

You will defend, indemnify, and hold harmless Hugin and its affiliates, officers, employees, agents, suppliers, and licensors from and against claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or related to: Customer Data; your use of Hugin; your connected sources, connected applications, action configurations, or AI tools; your violation of these Terms, the Acceptable Use Policy, or law; your infringement or misuse of third-party rights; or your failure to obtain required permissions, notices, consents, or legal bases.

18. Suspension and Termination

We may suspend or terminate access immediately if: you violate these Terms or the Acceptable Use Policy; payment is overdue; continued access creates security, legal, operational, provider, or reputational risk; a connected source or provider requires it; or we reasonably believe the Service is being misused. We will use reasonable efforts to give notice where appropriate.

After termination, your right to use Hugin ends. We may retain or delete Customer Data according to the Privacy Policy, the DPA, applicable law, and backup, audit, and billing needs. Sections that by their nature should survive termination will survive.

19. Export Controls and Sanctions

You must comply with applicable export control, sanctions, and trade laws. You represent that you are not located in, and will not use or provide access to Hugin from, a country or to a person or entity subject to applicable embargoes or sanctions, and that you will not use Hugin for any prohibited end use.

20. Force Majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government action, network or power failures, third-party provider or internet failures, and outages of subprocessors or connected sources. Payment obligations are not excused by this section.

21. Assignment

You may not assign or transfer these Terms without our prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets, provided the successor agrees to these Terms. We may assign these Terms to an affiliate or successor. These Terms bind permitted successors and assigns.

22. Notices

We may give notice by email to the address associated with your account, by posting in the Service, or by updating the relevant policy page. You agree to receive communications electronically. Legal notices to Hugin must be sent to fixeonai@gmail.com.

23. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. The courts located in Abuja, Nigeria will have exclusive jurisdiction, unless the parties agree in writing to another dispute-resolution process. Nothing in this section deprives you of the protection of mandatory consumer-protection laws of your country of residence, or of any non-waivable right to bring proceedings in your local courts where applicable law so provides. Before filing a claim, you agree to contact us at fixeonai@gmail.com and attempt to resolve the dispute in good faith for 30 days.

24. General

These Terms, together with the Privacy Policy, Acceptable Use Policy, Refund Policy, EULA, DPA (where applicable), and any order form, are the entire agreement between you and Hugin regarding the Service and supersede prior agreements on that subject. If any provision is found unenforceable, the rest remains in effect and the provision is modified to the minimum extent necessary. Our failure to enforce a provision is not a waiver. In case of conflict, a signed order form or master agreement controls over these Terms, which control over other referenced policies, except that the DPA controls for data-processing matters. Headings are for convenience only.

25. Changes to These Terms

We may update these Terms from time to time. Updated Terms are posted with a new "Last updated" date, and material changes may be notified through the Service or by email. Your continued use after changes take effect means you accept the updated Terms.
