1. Scope and Acceptance

This EULA governs the license to access and use the Hugin software, application interfaces, APIs, MCP endpoints, connectors, documentation, and related materials made available by Hugin (the "Software"). It also applies to future features, updates, connectors, AI capabilities, APIs, billing features, providers, and related materials unless we provide separate license terms.

By installing, accessing, or using the Software — including by clicking to accept, creating an account, or completing a purchase — you agree to this EULA. This EULA should be read together with the Terms of Service, Privacy Policy, Acceptable Use Policy, and Refund Policy. If there is a conflict between this EULA and a signed order form or master agreement, the signed agreement controls for that Customer.

2. License Grant

Subject to this EULA, the Terms of Service, all applicable order terms, payment obligations, and plan limits, Hugin grants Customer a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely for Customer's internal business purposes.

This license includes use of the Software to connect approved sources, process Customer Data, configure workspaces and context consumers, retrieve context through authorized surfaces, create and serve reusable company procedures where enabled, configure approved connected-app actions where enabled, and use related documentation.

3. License Restrictions

Customer and its users must not:

  • copy, modify, adapt, translate, or create derivative works of the Software except as expressly allowed by law or written agreement;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, underlying ideas, models, architecture, or algorithms, except to the extent this restriction is prohibited by law;
  • bypass license keys, workspace limits, billing entitlements, source limits, context-ops limits, rate limits, access controls, action approval flows, idempotency controls, or technical restrictions;
  • access the Software to build or benchmark a competing product, or to train a competing AI model, unless expressly permitted in writing;
  • resell, rent, lease, sublicense, distribute, provide managed access to, or operate the Software for third parties unless authorized in writing;
  • remove or obscure proprietary notices;
  • use the Software in violation of law, third-party rights, the Terms of Service, or the Acceptable Use Policy;
  • use the Software to process data Customer is not authorized to process;
  • interfere with, overload, attack, or disrupt the Software or its providers.

4. Ownership

The Software and all related software, interfaces, designs, documentation, workflows, service logic, connectors, schemas, source code, object and data models, pricing/entitlement logic, and related technology are owned by Hugin or its licensors and are protected by intellectual property laws. No ownership rights are transferred under this EULA. Customer retains ownership of Customer Data, subject to the limited rights needed for Hugin to provide the Service.

5. Customer Data and Connected Sources

Customer is responsible for all Customer Data, connected sources, custom/push payloads, source scopes, user permissions, consumer credentials, skill grants, action grants, approval settings, connected-app effects, and AI tool access. Customer grants Hugin the limited rights needed to host, process, transform, index, retrieve, secure, transmit, display, and, where enabled, send customer-directed instructions or data to connected applications to provide and support the Software, as further described in the Terms of Service and Privacy Policy. Customer represents that it has all necessary rights, notices, consents, and legal bases for the data it connects, uploads, submits, retrieves, or uses in connected-app actions.

6. Third-Party Components and Services

The Software depends on third-party services (listed on our Subprocessors page) and may include open-source components. Third-party services and customer-connected applications are not owned or controlled by Hugin and may be subject to separate terms, policies, limits, outages, and changes. Open-source components are licensed under their applicable open-source licenses, and nothing in this EULA limits rights granted directly by those licenses.

7. AI, Models, and Outputs

The Software uses AI model providers and embeddings to prepare, retrieve, summarize, classify, transcribe, construct context, and draft or refresh reusable skill content where enabled, and may provide context packets, evidence, traces, summaries, entities, relationships, skill drafts, action previews, action summaries, and other outputs. You are interacting with automated and AI-generated outputs, which can be inaccurate, incomplete, outdated, biased, or unsuitable.

Customer is responsible for human review and for deciding whether outputs, skills, previews, and action results may be used for any particular purpose. Hugin does not use Customer Data to train, fine-tune, or improve AI models, and routes model traffic in zero-data-retention mode (see the Privacy Policy). The Software is not licensed for use as professional advice, regulatory-compliance automation, or fully automated high-impact decision-making without appropriate Customer safeguards and human review.

8. Managed, Private, and Self-Hosted Deployments

Where Hugin offers a managed, private, dedicated, or self-hosted deployment (for example a Custom plan with bring-your-own API keys or deployment in Customer's environment), the license is limited to that deployment for Customer's internal use, and the specific scope, infrastructure responsibilities, provider keys, support, and limits are governed by the applicable order form or Statement of Work. Customer is responsible for the security and configuration of any environment, credentials, or provider keys it controls. The license does not grant rights to the Hugin source code or to redistribute the Software.

9. Updates and Changes

Hugin may provide updates, patches, enhancements, new features, connector changes, model-routing changes, billing updates, and bug fixes. Some updates may be required for security, provider compatibility, or continued operation. We may modify or discontinue features where needed for legal, security, operational, provider, or product reasons, consistent with the Terms of Service.

10. Confidentiality and Security

Customer must protect access credentials, API keys, MCP tokens, custom source credentials, workspace access, connected-source authorizations, action permissions, and approval tokens where used, and must promptly notify Hugin at fixeonai@gmail.com of suspected unauthorized access or credential compromise. Hugin may suspend access or revoke credentials where necessary to protect Hugin, Customer, other customers, users, providers, or the public.

11. Fees and License Term

The license remains in effect only while Customer has an active subscription, valid order, trial, or other authorized access and complies with this EULA and related terms. Failure to pay fees, exceeding plan limits, or violating restrictions may result in suspension, termination, or downgraded access.

12. Termination

This EULA terminates automatically when Customer's right to access the Software ends, when Customer materially breaches this EULA, or when Hugin terminates access under the Terms of Service. Upon termination, Customer must stop using the Software and licensed materials. Sections concerning ownership, restrictions, confidentiality, disclaimers, liability limits, indemnity, data handling, export, governing law, and any provisions intended to survive will survive termination.

13. No High-Risk Use

Unless expressly agreed in writing, the Software is not licensed for use in environments where failure could lead to death, personal injury, severe environmental damage, weapons use, critical-infrastructure failure, medical diagnosis or treatment, emergency response, or fully automated decisions with legal or similarly significant effects. 14. Warranty Disclaimer

To the fullest extent permitted by law, the Software and all licensed materials are provided "as is" and "as available," without warranties of any kind. Hugin disclaims all express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted or error-free operation.

15. Limitation of Liability

To the fullest extent permitted by law, Hugin will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost goodwill, data loss, business interruption, replacement costs, or third-party service failures. To the fullest extent permitted by law, Hugin's total liability arising out of or relating to this EULA will not exceed the greater of (a) amounts paid by Customer for the Software during the 12 months before the event giving rise to the claim, or (b) US$100. Some jurisdictions do not allow certain limitations, so some may not apply, and nothing limits liability that cannot be limited by law.

16. Indemnification

Customer will defend, indemnify, and hold harmless Hugin from claims and losses arising from Customer Data, Customer's connected sources or applications, Customer's AI tools, Customer's action configurations or action results, Customer's use of the Software, Customer's violation of this EULA or law, or Customer's infringement or misuse of third-party rights.

17. Export and Sanctions

Customer must comply with applicable export control, sanctions, and trade laws, and must not use the Software, or provide access, where prohibited by law or to sanctioned persons, entities, or jurisdictions.

18. U.S. Government Rights

If applicable, the Software is "commercial computer software" and "commercial computer software documentation." U.S. Government use is limited to the rights granted in this EULA unless required by law.

19. Governing Law

This EULA is governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved in the courts located in Abuja, Nigeria, unless the parties agree in writing to another dispute-resolution process or a separate written agreement states otherwise. This does not deprive a consumer of the protection of non-waivable laws of their country of residence.
